Job Description

We are seeking a highly skilled and motivated Corporate Lawyer specializing in extraordinary transactions, including both equity and financing, to support our legal team. The successful candidate will be responsible for providing legal advice and support on mergers and acquisitions, corporate finance matters, financing transactions. This role requires exceptional project management skills, and the ability to effectively communicate and coordinate with various business areas and external law firms assisting Casavo.

 

  • Equity Transactions: Advise on and manage equity transactions, including capital raising and private placements and M&A.
  • Financing Transactions: Handle complex financing transactions, including debt financing, credit facilities, and other financial instruments.
  • Due Diligence: Conduct comprehensive due diligence investigations to identify and mitigate potential risks associated with extraordinary transactions.
  • Contract Drafting and Negotiation: Draft, review, and negotiate a wide range of transactional documents, including term sheets, letters of intent, purchase agreements, shareholder agreements, financing agreements, and other related contracts.
  • Risk Management: Identify potential legal risks and develop strategies to mitigate them in the context of extraordinary transactions.
  • Client Advisory: Provide strategic legal advice to clients on complex corporate and financing transactions, ensuring alignment with their business objectives.
  • Project Management: Oversee and manage multiple high-stakes projects simultaneously, ensuring all deadlines are met and processes run smoothly.
  • Coordination and Communication: Effectively communicate and coordinate with various business areas and external law firms to facilitate seamless execution of transactions.
  • Post-Transaction Integration: Assist in the integration process post-transaction to ensure smooth transition and compliance with all legal requirements.

 

Requirements

  • Juris Doctor (JD) degree from an Italian law school.
  • Admission to the Italian bar.
  • Minimum of 2 years of experience in corporate law with a focus on extraordinary transactions, at least one between equity or financing.
    • Strong project management and organizational skills.
    • Excellent negotiation and communication skills.
    • Ability to manage multiple high-stakes projects and meet strict deadlines.
    • Effective coordination and collaboration with various business areas and external law firms.
    • Proficiency in legal research and writing.
    • Attention to detail and strong analytical skills.
