Contract: Freelance professional collaboration (VAT registration / Partita IVA)

The Role

We are looking for a Corporate Legal Associate who is already qualified to practice law, with at least 1 year of post-qualification experience, to join the legal department supporting the Group's corporate, commercial, real estate, and M&A activities.

The successful candidate will work closely with the Legal Counsel, collaborating with the Business, Finance, HR, Operations, and Commercial departments, and contributing to the management of the company's key strategic initiatives.

Key Responsibilities

Corporate Governance

  • Supporting the governance management of the Group's companies

  • Preparing minutes of Board of Directors meetings and Shareholders' Meetings

  • Drafting powers of attorney, delegations, and corporate documentation

  • Managing corporate books and corporate compliance obligations

  • Coordinating with notaries, accountants, and external consultants

  • Supporting extraordinary transactions and corporate reorganization processes

M&A

  • Supporting acquisition, investment, and corporate reorganization transactions

  • Preparing and reviewing NDAs, LOIs, Term Sheets, and Share Purchase Agreements

  • Managing and coordinating legal due diligence activities

  • Preparing Closing Agendas, Closing Memoranda, and closing documentation

  • Monitoring conditions precedent and post-closing obligations

  • Liaising with legal, financial, and tax advisors

Commercial & Business Legal

  • Drafting, reviewing, and negotiating commercial contracts

  • Preparing agreements with business partners, suppliers, and consultants

  • Supporting the Business and Commercial teams in structuring new products and services

  • Conducting preliminary legal risk analysis for commercial initiatives

  • Preparing contract templates and standardizing legal documentation

Real Estate

  • Providing legal support for the company's real estate transactions

  • Reviewing documentation related to property purchases and sales

  • Supporting relationships with notaries, technical experts, and real estate consultants

  • Analyzing zoning and land registry documentation

  • Preparing and reviewing brokerage mandates, real estate agreements, and related documentation

  • Assisting operational teams with legal issues relating to real estate transactions

Compliance

  • Supporting the implementation of company procedures and internal processes

  • Collaborating on corporate and contractual compliance activities

  • Updating company documentation

  • Monitoring relevant regulatory developments

Legal Advisory

  • Providing day-to-day legal advice to the various company departments

  • Preparing legal opinions and memoranda

  • Participating in project discussions from the early stages of development

  • Contributing to the definition of scalable and efficient legal processes

Requirements

Essential

  • Master's degree in Law

  • Qualified to practice law (bar admission)

  • At least 1 year of post-qualification experience gained at a law firm or in-house legal department

  • Experience in corporate law and commercial contracts

  • Excellent knowledge of civil and commercial law

  • Excellent written and spoken English

  • Excellent contract drafting skills

  • Pragmatic, business-oriented approach

Preferred

  • Experience in M&A transactions

  • Experience in the Real Estate sector

  • Experience with innovative companies, startups, or scale-ups

  • Experience in international contexts

  • Knowledge of French
